Nodwin Gaming, backed by Nazara, announced on Friday that its Singapore-based subsidiary has finalized agreements to gradually acquire 100% ownership of Berlin's Freaks 4U through a share swap deal. Currently holding a 13.51% stake, Nodwin's Singapore unit will first increase its share in Freaks 4U to 57%, with plans to swap the remaining 43% later. The total transaction is valued at Rs 271 crore ($32.6 million). This acquisition is expected to significantly bolster Nodwin's capabilities by integrating Freaks 4U's expertise, experience, and network, potentially boosting revenues for the Nazara-backed company. Since acquiring a minority stake in January 2024, Nodwin has been collaborating with Freaks 4U on business integration and identifying synergies, such as joint projects like the PUBG Mobile Global Open and Esports World Cup. Based on successful outcomes and early synergistic benefits, both companies have decided to proceed with the transaction. In March, Nazara announced plans to invest $100 million in mergers and acquisitions over the next two years. Earlier in January, through Nodwin, Nazara also acquired Comic Con India, which hosts popular youth-oriented pop cultural festivals across India. Nazara reported a 4.3% increase in revenue to Rs 1,138 crore in FY24 from Rs 1,091 crore in FY23. Controlled costs and increased other income contributed to a 23% rise in profit to Rs 75 crore in FY24 from Rs 61 crore the previous fiscal year.
